Terms & Conditions
Effective Date: January 1, 2025
Welcome to 1st Glance Bahamas (“Agency,” “we,” “us,” or “our”). By engaging our services, you (“Client”) agree to be bound by these Terms and Conditions. These Terms govern all agreements and interactions between the Agency and the Client.
1. Scope of Services
1.1 The Agency provides services including, but not limited to, website development, maintenance, digital marketing, and software solutions as agreed upon in individual contracts or proposals.
1.2 Specific deliverables, timelines, and service fees will be outlined in a separate Statement of Work (SOW) or contract.
2. Payments and Fees
2.1 Retainer Fees
- All retainer fees are due in advance on the first day of the billing cycle unless otherwise stated in the SOW or contract.
2.2 Project Payments
- For non-retainer projects, 50% of the total project fee is required upfront, with the remaining balance due upon project completion or as otherwise specified.
2.3 Late Payments
- Payments not received by the due date will incur a late fee of $100. Services will be suspended if the grace period payment remains outstanding by the end of the month.
2.4 Outstanding Balances
- Services will not resume until all outstanding balances, including late fees, are fully paid. The Agency reserves the right to disable or suspend access to any deliverables, including websites and software, if payment obligations are unmet.
2.5 Subscription Software
- If subscription-based software is used for your services, the Client agrees to reimburse the Agency for the cost of such tools. These fees will be included in the monthly retainer or billed separately as outlined in the SOW.
3. Service Suspension and Termination
3.1 Suspension of Services
- The Agency reserves the right to suspend services if payments are not received within the agreed-upon timeframe. A placeholder message indicating suspension due to non-payment may be displayed on websites until the account is settled.
3.2 Termination by Agency
- The Agency may terminate services if the Client repeatedly fails to meet payment obligations or breaches any other terms outlined in this document.
3.3 Termination by Client
- Clients may terminate services by providing written notice 30 days in advance. Any work completed up to the termination date will be billed accordingly.
4. Working Hours and Communication
4.1 Regular business hours are Monday to Saturday, 9:00 AM to 7:00 PM (GMT-5). Communication outside these hours will be addressed on the next business day.
4.2 Emergency support outside regular business hours may incur additional charges unless covered by a specific agreement.
5. Intellectual Property
5.1 The client will own the deliverables upon full payment of all invoices. However, until full payment is received, the agency retains ownership of the deliverables.
6. Liability and Indemnity
6.1 The Agency will not be held liable for any losses or damages resulting from delayed payments, service suspensions, or other breaches of these Terms by the Client.
6.2 The Client agrees to indemnify and hold the Agency harmless from any claims, damages, or liabilities arising from the Client’s use of the deliverables or breach of these Terms.
7. Confidentiality
7.1 Both parties agree to keep all proprietary information confidential unless otherwise authorized in writing.
8. Dispute Resolution
8.1 Any disputes arising from these Terms will be resolved through mediation before pursuing legal action. Both parties agree to Bahamian jurisdiction and laws.
9. Amendments
9.1 The Agency reserves the right to amend these Terms and Conditions with 30 days’ notice to Clients. Continued use of our services constitutes acceptance of the updated Terms.
